Influnest’s Terms of Service

Welcome to Influnest

The following terms of service, govern your access to and use of the Influnest website and apps, including any content, functionality and services offered by Influnest LLC. and, its partners collectively referred here to as “Influnest” “we” or “us“.

Please read the Terms of Service on Influnest carefully before you start to use the Site. By using the Site, opening an account or by clicking to accept or agree to the Terms of Service when this option is made available to you, you accept and agree to be bound and abide by these Terms of Service and our Privacy Policy. If you do not want to agree to these Terms of Service or the Privacy Policy, you must not access or use the Site.

This Site is offered and available to users who are 13 years of age or older. If you are under 13 you may not use this Site. By using this Site, you represent and warrant that you are of legal age to form a binding contract and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Site.

Our Customer Support team is available 24/7 if you have any questions regarding the Site or Terms of Service on Influnest. Contacting our Customer Support team can be performed by submitting a request to teaminflunest@gmail.com, or by using other methods presented through the Site.

Terms & Definitions

Influnest is the tool used to connect Influencers with Businesses and other Influencers. Influnest is NOT responsible for any contract or deal or any payment related activity between its users – Businesses, Influencers and other visitors browsing the Site (“Users”)

Businesses or Brands are users who create and publish promotions on Influnest with the intent of establishing partnership with Influencers for promotional campaigns

Influencers or Creators are users who connect with Businesses or other Influencers on Influnest for promotional campaigns and/or other business collaborations

Promotions are created by Businesses to outline preliminary requirements for an upcoming promotional campaign

Promotions Page is a collection of Promotions that can be accessed by registered Influencers to help initiate collaborations between Businesses and Influencers.

Dashboard is the web based interface where the registered Businesses and Influencers can access the basic information about their account. Influnest users can also access a variety of other features from their dashboard Contacts: Influencers can view contact details of Businesses and/or chat with Businesses for an eligible/valid promotion

Eligible or Valid promotion: A promotion that fulfills all of the Influencer’s profile requirements is a Valid or Eligible promotion for that Influencer

Chat is the built in collaboration tool on Influnest that enables communication between Businesses and Influencers for a valid promotion

Platform is the social media application/platform that the Influencer is associated with. Possible supported platforms are Youtube, Facebook, twitch, X, Instagram, Tiktok

Influencer Collaboration is a feature offered on Influnest wherein an Influencer can reach out to another Influencer and initiate a request to collaborate. Influnest provides a capability to connect Influencers with each other. Influnest is NOT responsible for any deal or contract or payment related activity between Influencers

Tier refers to a level assigned to Influencers on the basis of their follower count. Tier levels are defined and are fully controlled by Influnest and can change at any time without any prior notice

Upgrade Tier is a feature available on Influnest for Influencers. Influencers can initiate a request to upgrade their tier using this feature

Switch to Business is a feature offered by Influnest for the accounts where the Influencer also owns a Business. Using this feature, a registered influencer can switch to a business account using the same registered email address

Switch to Influencer is a feature offered by influnest for the accounts where the Business owner is also an Influencer. Using this feature, a registered Business can switch to an Influencer account using the same registered email address

 

OVERVIEW (in a nutshell)

 

• Only registered users may be able to connect with each other on Influnest. Registration is FREE.
• Promotions on Influnest may be created without listing any payment related details
• Influnest connects Influencers with Businesses and other Influencers can see the shared contact details of the Businesses on valid Promotions. Influencers can also chat with Businesses on valid Promotions.
• Influnest is NOT responsible for any financial or non-financial deal or contract between its Users
• Influnest retains the right to use all published delivered works for Influnest marketing and promotion purposes.
• With respect to calls, faxes, text, SMS or MMS (collectively, “Contact by Phone”), Influencers will not use the Services to engage in Contact by Phone except to contact Businesses who have provided Influencers with “prior express written consent,” as that phrase is defined in the TCPA, to be contacted via Contact by Phone by Influencer
• We care about your privacy. You can read our Privacy Policy. The Privacy Policy is a part of these Terms of Service and incorporated herein by reference.

 

INFLUENCERS

Basics

• Influencers can only access Businesses and Promotions by first registering on Influnest and authenticating their social media profile during the registration process.
• Supported social media target platforms are Facebook, Twitch, Youtube, X, Tiktok and Instagram
• You understand and agree that Influnest only connects the Influencer to a Business or an Influencer. Influnest is NOT responsible for any financial or non-financial deal between its Users.
• Influencer profiles are presented to other users through the Influnest dashboard where they can see public profile details or any historic activity on the Influencer account, and other metrics generated by Influnest using this data.
• Influencers can engage with Businesses in one of following ways for a valid promotion: 
  • By viewing their email address
  • By viewing their phone number
  • By initiating a chat with the Business

• Business can close a promotion and add the name of the Influencer that they worked with, to that Promotion will then start showing under Influencer profile
• Business can also rate the Influencer on a closed Rating will then show on the Influencer profile
• Influencers can connect to other Influencers using one of the ways below:
  • Send a collaboration request to another Influencer
  • Respond to a collaboration request and/or chat with another Influencer

• Influencers are assigned a tier during registration Influencers can submit a request to upgrade their tier through Influnest
• Influencers can view and/or update their account details on Influnest via Update Profile
• Influencers can add or delete social media platform on Influnest via Update Profile
• Registered Influencers can switch their accounts to Business accounts and use all Business account features using the same email account
• For security concerns, Influnest may temporarily suspend any Users without This may come as a result of security issues, improper behavior reported by other Users or Influnest staff.

 

Accepting Free Product For Review From a Business

 

Some Businesses may offer free physical or digital products or services as a part of the published promotion. Should Influencers receive free product or service for review, they agree to the following:

• Influnest shall NOT be held responsible in any way related to the transfer and use of the product or service transferred between the Business and the Influencer.

 

BUSINESS

Basics

• Business must create a Promotion on Influnest in order to connect with an Influencer.
• You understand and agree that Influnest only connects the Business to an Influencer. Influnest is NOT responsible for any financial or non-financial deal or contract between its Users
• Influnest retains the right to use all publicly published delivered works for Influnest marketing and promotional purposes.
• Business profiles are presented to other users through the Influnest dashboard where they can see public profile details or any historic activity on the Business account, and other metrics generated by Influnest using this data.
• Businesses can engage with Influencers in one of following ways for a valid promotion:
  1. By responding to a chat with the Business
• Business can view all their active or non-active promotions on their accounts
• Business can close a promotion and add the name of the Influencer that they worked with. Promotion will then start showing under Influencer profile
• Influencer can rate the Business on a closed Rating will then show on the Business profile
• Business can view and/or update their account details on Influnest via Update Profile.
• Registered Businesses can switch their accounts to Influencer accounts and use all Influencer account features using the same email account
• For security concerns, Influnest may temporarily suspend any Users without This may come as a result of security issues, improper behavior reported by other Users or Influnest staff.

Promotion Page

 

• Business is entitled to posting unlimited number of promotions on the Promotions page.
• Promotions and/or users may be removed by Influnest from the Site for violations of these Terms of Service and/or our Community Standards, which may include (but are not limited to) the following violations and/or materials:
  • Illegal or Fraudulent services
  • Copyright Infringement, Trademark Infringement, and violation of a third party’s terms of service reported through our Intellectual Property Claims Policy.
  • Adult oriented services, Pornographic, Inappropriate/Obscene
  • Spam, nonsense, or violent or deceptive Promotions
  • Reselling of regulated goods
  • Promoting Influnest through activities that are prohibited by any laws, regulations, and/or third parties’ terms of service, as well as through any marketing activity that negatively affects our relationships with our users or partners.

• Promotions that are removed for violations mentioned above, may result in the suspension of the User’s account.
• Promotions that are removed for violations are not eligible to be restored or edited.
• Promotions may be removed from our Search feature due to poor performance and/or user misconduct.
• Promotions are required to have an appropriate image related to the product or service offered by the Business.

 

Taxes

 

• Influnest ONLY connects its Users. Influnest is NOT responsible for any financial or non-financial deals between its Hence, Influnest will NOT be held responsible for taxes or any tax related items.

 

Reviews

 

• Feedback reviews provided by Businesses after a Successfully closed Promotion are an essential part of Influnest’s rating system. Reviews demonstrate the Business’s overall experience with the Influencer and their service. Businesses are encouraged to communicate to the Influencers any concerns experienced during their Promotion in regards to the service provided by the Influencer.
• Feedback reviews provided by Influencers after a Successfully closed Promotion are an essential part of Influnest’s rating system. Reviews demonstrate the Influencer’s overall experience with the Business and their service. Influencers are encouraged to communicate to the Businesses any concerns experienced during their Promotion journey.
• Leaving a Business feedback is a basic prerogative of a Business. Feedback reviews will not be removed unless there are clear violations of the Terms of Service on Influnest and/or our Community
• To prevent any misuse of our Feedback system, all feedback reviews must come from legitimate Promotions executed through the Influnest platform from users within our Community. Promotions arranged and closed, determined to artificially enhance Influencer or Business ratings, or to abuse the Influnest platform with activities from additional accounts, will result in a permanent suspension of all related accounts.

• Feedback comments given on Promotions are publicly displayed on a User’s profile page.

 

Disputes and Cancellations

 

Businesses and Influencers will settle any conflicts amongst themselves. Influnest is NOT responsible for any dispute or conflict management among its Users.

Any dispute or claim relating in any way to your use of any Influnest Service will be adjudicated in the state or Federal courts in Florida, and you consent to exclusive jurisdiction and venue in these courts.

 

Promotion Cancellation/Closure

 

• Influnest offers a capability to CANCEL a promotion if the Business does not want to proceed with their Promotion.
• Influnest offers a capability to CLOSE a promotion if Business was able to find and connect to an Influencer on Influnest
• All Promotions automatically expire in 120 days on Influnest
• In rare circumstances where we find it appropriate, our Customer Support team may cancel or close a promotion for Users.
• Any non-permitted usage of Influnest encountered during a User journey, after being reviewed by our Customer Support team, may result in the order being This includes, but not limited to; harassment, unlawful behavior, or other violations of Influnest’s Terms of Service.
• Influnest Customer Support will cancel Promotions or User accounts based on, but not limited to, the following reasons:
  • Users are abusive towards the other party through threats of low ratings.
  • Users supplied or included copyright/trademark infringing materials as part of the Promotion.
  • The user is no longer an active Influnest user due to Terms of Service violations or closure of their account.
  • Users who threaten to leave a damaging review on another party’s profile.

 

Applicable Laws

 

By creating an Account and using the Services, User agrees to comply with the terms of this Agreement and all applicable laws (“Applicable Laws”), including all federal, state, local, and foreign statutes, laws, ordinances, rules, and regulations, including but not limited to the Telephone Consumer Protection Act, 47 U.S.C. §227, as amended, and its implementing regulations and applicable F.C.C. rulings and orders (collectively, “TCPA”), CAN-SPAM Act of 2003 (“CAN-SPAM”), California’s Anti-Spam Act, Cal. Bus. & Prof. Code §17529 et seq. (“California’s Anti-Spam Act”), the Federal Trade Commission Act and related rules, regulations, and guidelines (collectively, “FTC Act”), any applicable credit card merchant guidelines, child protection laws, laws regarding unfair and deceptive acts and practices, intellectual property and proprietary rights, defamation, and privacy, including if applicable the California Consumer Privacy Act (“CCPA”), Cal. Civil. Code §1798.100 et seq., international laws, including if applicable the United Kingdom Data Protection Act of 1998 (as amended) (“UK Data Protection Act”), the General Data Protection Regulation (GDPR) (EU) 2016/679 (“GDPR”) as amended and adopted by the UK and member states of the EU, and all related directives, acts, and regulations, and all federal laws, regulations, rules, and undertakings prohibiting or restricting the export or re-export of the Services or User Content outside of the United States; for clarity, in using the Services, User may not remove or export from the United States or allow the export or re- export of the Services or anything related thereto, or violate any restrictions, laws, or regulations of the United States Department of Commerce or Department of Treasury Office of Foreign Assets Control or any other United States or foreign agency or authority.

 

User Conduct and Protection

Influnest maintains a friendly, community spirited, and professional environment. Users should keep to that spirit while participating in any activity or extensions of Influnest. This section relates to the expected conduct users should adhere to while interacting with each other on Influnest. To report a violation of our Terms of Service and/or our Community Standards, User Misconduct, or inquiries regarding your account, please contact our Customer Support team.

Basics

• Rude, abusive, improper language, or violent messages will not be tolerated and may result in an account warning or the suspension/removal of your account.
• Influnest is open to Discrimination against a community member based on gender, race, age, religious affiliation, sexual preference or otherwise is not acceptable and may result in the suspension/removal of your account.

 

Reporting Violations

 

If you come across any content that may violate our Terms of Service and/or our Community Standards, you should report it to us through the appropriate channels created to handle those issues as outlined in our Terms of Service. All cases are reviewed by our Compliance team. To protect individual privacy, the results of the investigation are not shared. You can review our Privacy Policy for more information.

 

Violations

 

Users may receive a warning to their account for violations of our Terms of Service and/or our Community Standards or any user misconduct reported to our Compliance team. A warning will be sent to the user’s email address and may be displayed for such users on the Site. Warnings do not limit account activity, but can lead to your account losing statuses or becoming permanently disabled based on the severity of the violation.

 

Non-Permitted Usage

 

Adult Services & Pornography – Influnest does not allow any exchange of adult oriented or pornographic materials and services.

Inappropriate Behavior & Language – Communication on Influnest should be friendly, constructive, and professional. Influnest condemns bullying, harassment, and hate speech towards others. We allow users a medium for which messages are exchanged between individuals, and a system to rate Sellers and Buyers.

Phishing and Spam – Members’ security is a top priority. Any attempts to publish or send malicious content with the intent to compromise another member’s account or computer environment is strictly prohibited. Please respect our members’ privacy by not contacting them with offers, questions, suggestions or anything which is not directly related to their Promotions.

Privacy & Identity – You may not publish or post other people’s private and confidential information. Any exchange of personal information required for the completion of a service must be provided in the Promotion Chat. Once Users are connected, any engagement and/or communication will not be protected by our Terms of Service.

Authentic Influnest Profile – You may not create a false identity on Influnest, misrepresent your identity, create an Influnest profile for anyone other than yourself (a real person), or use or attempt to use another user’s account or information; Your profile information, including your description, skills, location, etc., must be accurate and complete and may not be misleading, illegal, offensive or otherwise harmful. Influnest reserves the right to require

 

users to go through a verification process in order to use the Site (whether by using ID, phone, camera, etc.).

Intellectual Property Claims – Influnest will respond to clear and complete notices of alleged copyright or trademark infringement, and/or violation of third party’s terms of service.

Fraud / Unlawful Use – You may not use Influnest for any unlawful purposes or to conduct illegal activities.

 

Abuse and Spam

 

Multiple Accounts – To prevent fraud and abuse, users are limited to one active account. Any additional account determined to be created to circumvent guidelines, promote competitive advantages, or mislead the Influnest community will be disabled. Mass account creation may result in disabling of all related accounts. Note: any violations of Influnest ‘sTerms of Service and/or our Community Standards is a cause for permanent suspension of all accounts. Targeted Abuse – We do not tolerate users who engage in targeted abuse or harassment towards other users on Influnest. This includes creating new multiple accounts to harass members through our Chat system.

Selling Accounts – You may not buy or sell Infunest accounts.

 

Proprietary Restrictions

 

The Site, including its general layout, design and content, is exclusively owned by Influnest. Users have no right, and specifically agree not to do the following with respect to the Site or any part, component or extension of the Site (including its mobile applications): (i) copy, transfer, adapt, modify, distribute or reproduce it, in any manner; (ii) reverse assemble, decompile, reverse engineer or otherwise attempt to derive its source code, underlying ideas, algorithms, structure or organization; (iii) modify or create derivative works;

(iv) remove any copyright notice, identification or any other proprietary notices, or; (v) use the Site in any manner that could damage, disable, overburden or impair the Site, or interfere with any other users’ enjoyment of the Site. Users also agree not to permit or authorize anyone else to do any of the foregoing.

 

Feedback Rights

 

To the extent that you provide Influnest with any comments, suggestions or other feedback regarding the Influnest platform or the Site as a whole, as well as other Influnest products or services (collective, the “Feedback”), you will be deemed to have granted Influnest an exclusive, royalty-free, fully paid up, perpetual, irrevocable, worldwide ownership rights in the Feedback. Influnest is under no obligation to implement any Feedback it may receive from users.

 

Confidentiality

 

Influencers should recognize that there might be a need for Businesses to disclose certain confidential information to be used by Influencers for the purpose of delivering the Promotion, and to protect such confidential information from unauthorized use and disclosure. Therefore, Influencers agree to treat any information received from Businesses as highly sensitive, top secret and classified material. Without derogating from the generality of the above, Influencers specifically agree to (i) maintain all such information in strict confidence; (ii) not disclose the information to any third parties; (iii) not use the information for any purpose except for delivering the ordered work; and (vi) not to copy or reproduce any of the information without the Business’s permission.

 

What About Cookies and Other Identifiers?

 

To enable our systems to recognize your browser or device and to provide and improve Influnest Services, we use cookies and other identifiers. For more information about cookies and how we use them, please read our Cookies Notice.

 

General Terms

 

• Influnest reserves the right to put any account on hold or permanently disable accounts due to breach of these Terms of Service and/or our Community Standards or due to any illegal or inappropriate use of the Site or services.
• Violation of Influnest ‘s Terms of Service and/or our Community Standards may get your account disabled permanently.
• Users with disabled accounts will not be able to use
• Users who have violated our Terms of Service and/or our Community Standards and had their account disabled may contact our Customer Support team for more information surrounding the violation and status of the account.
• Users must be able to verify their account ownership through Customer Support by providing materials that prove ownership of that
• Influnest may make changes to its Terms of Service from time to When these changes are made, Influnest will make a new copy of the terms of service available on this page.
• You understand and agree that if you use Influnest after the date on which the Terms of Service have changed, Influnest will treat your use as acceptance of the updated Terms of Service.

 

User Generated Content

 

User Generated Content (“UGC”) refers to the content added by users as opposed to content created by the Site. All content uploaded to Influnest by our users (Business and Influencer) is User Generated Content. Influnest does not check user uploaded/created content for appropriateness, violations of copyright, trademarks, other rights or violations. We invite everyone to report violations together with proof of ownership as appropriate. Reported violating content may be removed or disabled.

Furthermore, Influnest is not responsible for the content, quality or the level of service provided by the Influencer. We provide no warranty with respect to the Promotions, their delivery, and any communications between Business and Influencer. We encourage users to take advantage of our rating system, our community and common sense in choosing appropriate services.

 

Disclaimer of Warranties

 

Your use of the site, its content and any services or items obtained through the website is at your own risk. The site, its content and any services or items obtained through the website are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. Neither Influnest nor any person associated with Influnest makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy or availability of the website. The foregoing does not affect any warranties which cannot be excluded or limited under applicable law.

 

Limitation on Liability

 

In no event will Influnest, its affiliates or their licensors, service providers, employees, agents, officers or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the website, any websites linked to it, any content on the website or such other websites or any services or items obtained through the website or such other websites, including any direct, indirect, special, incidental, consequential or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (Including Negligence), breach of contract or otherwise, even if foreseeable.

The foregoing does not affect any liability which cannot be excluded or limited under applicable law.

The term “Affiliate” referred to herein, is an entity that, directly or indirectly, controls, or is under the control of, or is under common control with Influnest, where control means having more than fifty percent (50%) voting stock or other ownership interest or the majority of voting rights of such entity.
